ARTICLES OF INCORPORATION
and

CONSTITUTION

Of the 

AMERICAN SOCIETY FOR CLINICAL LABORATORY SCIENCE - ILLINOIS

Article I

Name

The Name of the Corporation is 

American Society for Clinical Laboratory Science - Illinois 

Article II 

Terms of Incorporation

The period of duration of the corporation is perpetual.

Article III 

Location 

The address of its initial Registered Office in the State of Illinois is 1164 North Dearborn Street in the City of Chicago, County of Cook and the name of its initial Registered Agent at said address is Cecelia Magdalene Korteum.

Article IV 

First Board of Directors 

The first Board of Directors shall be six in number, their names and addresses being as follows:

CONSTITUTION 

ARTICLE V 

Purposes

The purposes for which the corporation is organized are:

To promote higher standards in clinical laboratory methods and research.

To elevate the status of those specializing in clinical laboratory science.

To create the mutual understanding and cooperation among the clinical laboratory scientists and technicians and physicians and all others who are employed in the interest of individual and public health.

To promote the mutual aid and benefit of its members.

In general, to do anything necessary and proper to the conduct of an association of this nature, and for the purpose of attaining or furthering any of its objects, to do any and all other acts, and to exercise any and all other powers which now or hereafter may be authorized by law.

The American Society for Clinical Laboratory Science - Illinois will not function as a union.

The mission of the American Society for Clinical Laboratory Science - Illinois is to improve the public’s health through promotion of efficient and effective use of clinical laboratory services by espousing public and professional policies necessary for: (1) Explaining the role of laboratory personnel to other health practitioners, consumers and governmental agencies; (2) Ensuring and developing an adequate supply of competent laboratory professionals; (3) Promoting practice at a level commensurate with the expertise of the profession and removing barriers to such practices; (4) Serving as clinical laboratory consultants; and (5) Achieving optimal utilization of laboratory services.

Article VI 

Financing of Association

The financing of this Association shall be as prescribed in the Bylaws of the Association.

Article VII 

Membership 

The membership of this Association shall consist of such classes as may be provided by the Bylaws of the Association. The members in each of such classes shall have such rights and privileges and shall be governed by such rules of eligibility, admission, and dismissal as may be prescribed by the Bylaws.

Article VIII 

Officers and Directors

The officers of this Association shall be a president, a president-elect, a secretary and a treasurer, and such other officers as may be provided by the Bylaws of this Association. The respective terms of office and duties of all such officers shall be prescribed by the Bylaws.

The Board of Directors of this Association shall consist of the president, the immediate past president, the president-elect, the secretary, the treasurer, the presidents of all branch societies, the chair of the student forum and two members of the Association elected by membership. In addition the chairmen of all standing committees, members of the elected committee and the Executive Secretary shall serve on this Board as non-voting members. The terms of office and duties of the Board of Directors shall be as prescribed by the Bylaws.

The Board of Directors shall constitute the governing body of this Association when the House of Delegates is not in session.

Article IX 

House of Delegates 

There shall be a House of Delegates whose membership shall consist of:

1) The officers and members of the Board of Directors, and

2) The branch society of delegates chosen on a representative basis as provided for in the Bylaws.

The House of Delegates shall be the governing body of this Association.

Article X 

Branch Societies

Branch Societies may be formed and chartered in accordance with the requirements and procedures as provided by the Bylaws of this Association. The charter of any branch society may be revoked or reinstated upon such grounds and conditions and in accordance with such procedure as prescribed by the Bylaws.

Article XI 

Affiliation

This Association is a constituent society of the American Society for Clinical Laboratory Science, hereinafter referred to as ASCLS, and shall at no time in any manner adopt any policy contrary to the policies of that Society except as may be required by the laws of the State of Illinois.

Article XII 

Bylaws

The House of Delegates shall have the power to adopt, enact, and amend the Bylaws consistent with the Articles of Incorporation and the general objectives and purposes of this Association and not in conflict with the laws of the State of Illinois and the Bylaws of the American Society for Clinical Laboratory Science.

Article XIII 

Amendments

Proposed amendments to these Articles of Incorporation shall be submitted in writing to the committee on Constitution and Bylaws who submit the same to the Board of Directors with the Committee recommendation.

Upon approval of the society’s Board of Directors the proposed amendments shall be submitted for approval to the Constitution and Bylaws Committee of the ASCLS. After approval is obtained, copies of the proposed changes shall be mailed to the membership 30 days before final adoption by the Association for action. Within 90 days of adoption, the chair of the Constitution and Bylaws Committee shall file a copy of the amended charges with the Executive Secretary of this Association, with the Executive Office of ASCLS, and with the chairman of the ASCLS Constitution and Bylaws Committee.  Also within 90 days after adoption, the Executive Secretary of this Association shall file a copy of the amended Articles of this Association with the State of Illinois in accord with the provisions of the State.

If proposed amendments previously considered by the committee on Constitution and Bylaws of this Association are approved by a majority vote of the Board of Directors, they shall be mailed to the membership of this Association at least two weeks before such amendments are to be considered.

Proposed amendments shall be adopted by a two-thirds vote of the total number of delegates certified as present in the House of Delegates.
